Don't start with
the document.
Start with the business.
A lawyer who has built and run companies. I work with business owners, founders and investors at the moments when one decision sets the course, and I stay with you until it actually works.
The first call is directly with me. No commitment.

- Deals
- Acquisitions of tech companies, industrial businesses and service companies.
- Litigation
- Commercial and tech IP disputes, including the customer who became a competitor.
- My own business
- Co-founder and manager of Miryam, one of Israel's strongest medical-cannabis brands.
- Clients
- Tech companies, financial institutions, founders and investors.
It never starts in court.
It starts with something small that was never fully closed. Here is how it looks in practice, and what to close in advance so it doesn't end up in court.
A partner who agreed everything "verbally".
A founders' agreement or MOU, before the relationship changes, not after. Case 02A big customer building a replacement from your materials.
Terms of use and a license that hold, and a demand letter on time. Case 03A "non-binding" LOI that money already moved under.
Spell out what binds and what doesn't: confidentiality, exclusivity, costs. Case 04A vendor holding your customers without a contract.
SOW, relationship ownership, confidentiality and non-solicit, before access to your customer book. Case 05Price closed fast. The deal stalled.
Reps, indemnity and conditions precedent on the table before signing.Where I help.
Not sure which area this falls under? Ask me →M&A and deals
Buying, selling, investing, share transfers. Structure and terms that still work after signing, because that is usually where the surprises start.
Commercial litigation and tech IP
Demand letter, negotiation, court. And sometimes a smart settlement, when it serves the business.
Partnerships, founders and corporate governance
Founders' agreements, shareholders, board resolutions. Including for financial institutions.
Tech, privacy and infrastructure
Software agreements, privacy (Amendment 13, GDPR, CCPA), employees, and the lease for the next branch (yes, that too).
About me.
I build businesses
and run them.
I started as a lawyer at commercial firms, then moved to the business side: I built and ran operations at growing companies: finance, logistics, legal, customer service and more. From the warehouse to the boardroom. Today I run Blumin Law Office, and alongside it I'm co-founder and manager of Miryam, one of Israel's strongest medical-cannabis brands.
That's why I understand the numbers, the people, and what happens to a decision the day after. I made my first decisions under pressure in the field, long before law school.

Exposure check.
Your business grew.
Did your contracts keep up?
What was enough the day you opened may not hold today. Leases, suppliers, employees, partners: a lot has changed since. Three questions, one answer at a time, and a first picture of what to check first.
No sign-up, no personal details.
Do you have partners without a clear agreement between you?
Understand the business first. Then write.
Understand
A direct conversation: the goal, what's stuck, who's involved, and where the money is.
Decide what's urgent
Separate what's burning, what matters and what can wait. And say it plainly.
Close and execute
An agreement, a negotiation, a letter or ongoing counsel. And I stay until it actually works.
Common questions.
What business owners ask me.
Short answers to questions that come up in first calls. Have a different question? Ask me.
When should a lawyer join a deal?
Before the letter of intent or exclusivity, not the night before signing. Early on you can still decide what binds and what doesn't, what due diligence covers, and what happens if something surfaces along the way. Once price is agreed, most of the time goes to reps, indemnity and conditions precedent. Better to have them on the table from the start.
M&A and deals →Is an LOI marked "non-binding" really non-binding?
Not always. Israeli courts look at intent and specificity, not just the heading. If money has moved or performance has started, conduct can override the words. The duty of good faith in negotiations (section 12 of the Contracts Law) applies either way. So spell out what binds (confidentiality, exclusivity, costs) and what doesn't, and act accordingly.
"Non-binding" LOIs →Is an MOU between partners binding?
It can bind like any contract if it is specific enough and shows intent, even when it says a detailed agreement will follow. In practice the detailed agreement is often never signed and the MOU stays the only document. So settle holdings and dilution, decision-making, exit and deadlock in the MOU itself.
MOUs between partners →What do you do when a vendor or customer builds a competing product from your materials?
First, document: dates, correspondence, what was handed over and on what terms. Then check what actually holds: contract, terms of use, license, confidentiality, non-solicit. Only then decide between a demand letter, negotiation or proceedings. And if there is still no paper, put a written framework in place now, before exposure grows.
Commercial litigation and IP →Where does a share transfer in a private company get stuck?
Usually not on price. It stalls on a late disclosure schedule, indemnity without a clear cap or threshold, conditions precedent with no owner or date, and a right of first refusal or board approval nobody checked against the articles and shareholders' agreement. Check all of these before locking a closing date.
Share transfers →What does a first call look like?
A direct call with me, no commitment. We talk about the goal, what's stuck, who's involved and what's urgent. No need to prepare documents, and better not to send sensitive material in the first message. Reach out on WhatsApp, by phone or through the form, and I reply within one business day.
